Partner Needed for to Purchase One Hundred Year Old "Start Up" Company and Transition to Web-Based Business
Experienced Internet marketing company seeks a strategic investment partner for the purchase and addition of website e-commerce to an over one hundred year old wholesale distributor.
Cash investment needed: Eight million. Debt: Seventeen million. Total: Twenty-five million.
Started in the late 1800s the company currently has sales in excess of $30 million and will have approximately one million in net income before taxes and interest. The last three years they have experienced over 10% growth per year.
The primary business is as a wholesale distributor of plumbing, heating, electrical and refrigeration equipment and supplies. In addition a small retail outlet offers lighting and bath fixtures. Service and product knowledge is its main strength with over 100 employees that include second, third and even fourth generations assisting customers. Four warehouse and distribution facilities allow the company to service contractors, large companies and retailers.
The current owners wish to offer their stock for sale in 2007. The current president has an option incentive plan that gives him equity and the right to use this equity to participate in the purchase of the company. He has been with the firm for five years starting as a vice president of marketing and has been instrumental in the current growth. It is anticipated that he will stay on after the transfer. One of the current owners may be available to continue as a board member or chair. Another past president and board member of the company may also be available to serve on the board.
A significant growth opportunity exists for a new owner to expand the operations on the Internet as an e-commerce company. This will be managed and led by Gerry Grant, founder and CEO of the Internet marketing company Search-Optimization.com. Grant has twelve years experience in Internet marketing and specializes in search engine marketing. This expansion will include a wholesale site for contractors and retailers, and a retail site for direct sales. The existing warehouse, shipping and customer service will support these e-commerce sites.
As a support feature for the contractors and retailers the company will offer a low cost off-the-shelf, e-commerce solution that can be branded with the retailer’s current excellent brand identity. This site will interface with a fully populated database of products from the company allowing the retailer to have a very functional e-commerce solution at practically zero start-up cost.
